Terms of Service

InstantPrice is a free pricing intelligence tool that generates market-based valuations for pre-owned items using publicly available comparable sales data. InstantPrice also offers optional selling services that may connect sellers with third-party buyback partners or with independent local buyers. The Service is operated by InstantPrice LLC, a Florida limited liability company ("InstantPrice," "we," "us," or "our").

The valuation feature is available at no cost. No account or registration is required to request a valuation.

InstantPrice is not a marketplace, broker, escrow agent, or party to any transaction between users, sellers, buyers, or third-party partners.

InstantPrice allows users to submit a device profile (brand, model, storage, carrier, and condition) and receive a market valuation in return. Each valuation generates a downloadable badge displaying a market-based fair value estimate for the submitted item.

Valuations are generated based on publicly available comparable sales data and reflect estimated market prices at the time of the request.

The Service may also include optional selling services. If you select a mail-in buyback referral, you are redirected to a third-party buyback partner's website to complete the transaction with that partner. InstantPrice does not transmit your personal information to the mail-in buyback partner; the partner may receive only the general device category you selected, and you provide any further information directly to the partner on their site.

If you select the local selling service, you provide your first name, phone number, zip code, and meetup preference, such as buyer travels to seller or seller travels to buyer. InstantPrice identifies an independent local buyer who agrees to honor the InstantPrice valuation if the item is as-described, and shares the seller's and buyer's contact information with one another so they may arrange the transaction directly.

InstantPrice is not a party to the resulting transaction, does not handle payment, does not take possession of the item, and does not supervise the meetup.

The Service does not currently require account registration. You may request valuations anonymously. If you choose to use an optional selling service, you must provide the information needed to facilitate that service. If we introduce account features in the future, these Terms will be updated accordingly.

The valuation feature is provided at no charge. There are no subscription plans, appraisal limits, or billing obligations for requesting a valuation at this time. InstantPrice may receive referral fees or commissions from third-party partners or buyers in connection with optional selling services, but there is no charge to the seller for using the local selling service.

InstantPrice reserves the right to introduce optional paid features or plans in the future. Any such changes will be communicated in advance and will not affect access to the core free valuation service without prior notice.

Each valuation returns a fair market value estimate for the submitted item profile along with a downloadable badge displaying that value. The badge is a market-based fair value estimate, not a guarantee, appraisal, or verification of value. It is timestamped with the date of generation and is intended for personal reference or use in marketplace listings.

Valuations are point-in-time estimates. Market conditions change, and the value shown may not reflect current pricing at the time of any actual transaction.

The Service may display optional offers from third-party partners, including mail-in buyback referrals. These offers are provided for convenience only.

InstantPrice does not endorse any third-party partner, guarantee the terms of any third-party offer, or accept responsibility for transactions conducted with third parties. Your use of any third-party service is governed solely by that party's terms and policies.

No Vetting or Screening

InstantPrice does not conduct background checks, identity verification, criminal history checks, reference checks, or any meaningful vetting of buyers or sellers. Buyers are independent third parties unaffiliated with InstantPrice. You should not assume InstantPrice has confirmed the identity, trustworthiness, or safety of any other user or buyer.

Independent Transactions

Once introduced, sellers and buyers transact directly. InstantPrice is not a party to the transaction, does not guarantee that any transaction will be completed, does not guarantee that the buyer will pay the quoted value, does not guarantee that the item will be as-described, and does not mediate or resolve disputes between users.

In-Person Meetup Risks

The local selling service involves meeting an independent third party in person, potentially at your home or another location. You acknowledge and assume all risks associated with in-person meetings with strangers, including but not limited to risks of theft, fraud, assault, property damage, or other harm.

InstantPrice strongly encourages you to take normal safety precautions, including meeting in public locations when possible, bringing another person, informing someone of the meetup, and using your own judgment before proceeding. InstantPrice is not responsible for the conduct of any user, buyer, or third party.

Release of Claims

To the fullest extent permitted by law, you release InstantPrice and its members, officers, employees, and agents from any and all claims, damages, losses, or liabilities arising out of or related to the conduct of any other user, buyer, or third party introduced through the Service, including but not limited to claims for theft, fraud, misrepresentation, non-payment, no-shows, harassment, personal injury, or property damage. To the extent any portion of this release is found unenforceable, the remaining portions shall remain in full force and effect, and any unenforceable portion shall be enforced to the maximum extent permitted by law.

No Guarantee of Buyer or Seller Behavior

Buyers may decline to complete a transaction if, in their judgment, the item is not as-described. Sellers may decline to sell. InstantPrice does not enforce any commitment between users.

Disputes Between Users

Any dispute between a seller and a buyer arising from a matched transaction is between those parties and must be resolved by them directly. InstantPrice has no obligation to investigate, mediate, refund commissions, or take any action regarding such disputes. InstantPrice may, in its sole discretion, suspend or terminate access for users who are the subject of complaints, but is under no obligation to do so.

Eligibility

Use of the selling services is limited to users who are at least 18 years old and legally able to enter into binding contracts.

By submitting a phone number through any selling service, you expressly consent to receive communications from InstantPrice and from the matched buyer or buyback partner regarding your transaction, including by phone call and SMS text message. Standard message and data rates may apply.

You may opt out of further InstantPrice communications by contacting hello@instantprice.com. You may manage SMS preferences using standard opt-out replies, such as STOP.

Independent buyers who participate in the local selling service agree to:

• Honor the InstantPrice valuation when the item is materially as-described by the seller
• Communicate professionally and promptly with matched sellers
• Comply with all applicable laws, including state or local laws regarding the purchase of pre-owned goods, such as secondhand dealer licensing or recordkeeping where required
• Use seller information only for completing the introduced transaction
• Not contact sellers for any purpose after a transaction is declined or completed, except as reasonably necessary to resolve issues from that specific transaction

InstantPrice may suspend or terminate access for buyers or sellers who violate these obligations or who generate complaints, but InstantPrice has no obligation to monitor or enforce conduct between users.

Commission Payments

Buyers who participate in the local selling service agree to pay applicable commissions to InstantPrice on matched transactions. Commission amounts are variable and are determined by InstantPrice based on factors that may include the device category, valuation amount, and other commercial considerations. The commission amount applicable to a given match will be communicated to the buyer at or before the time of the match.

Commissions are typically collected up front at the time of match through a third-party payment processor (currently Stripe), which collects and handles payment card details directly under its own terms and privacy policy. InstantPrice does not collect, store, or have access to full payment card numbers.

Commissions may be refundable in InstantPrice's sole discretion, including in cases where the seller fails to appear, the transaction does not occur, or the item is materially not as-described. InstantPrice reserves the right to modify commission terms, payment timing, refund eligibility, and processing methods at any time, and to use alternative payment processors or commission structures (including post-transaction billing or subscription-based models) in the future. Buyers will be notified of material changes before such changes apply to them.

Buyers who fail to pay applicable commissions, or who initiate chargebacks without first attempting to resolve the issue with InstantPrice, may be suspended or terminated from the Service and may be liable for amounts owed plus reasonable collection costs.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INSTANTPRICE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, ANY VALUATION OUTPUT, ANY SELLING SERVICE, ANY THIRD-PARTY REFERRAL, OR THE CONDUCT OF ANY USER, BUYER, SELLER, OR THIRD-PARTY PARTNER.

IN NO EVENT SHALL INSTANTPRICE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100.00).

Some states do not allow the exclusion or limitation of certain damages. If these laws apply to you, some of the above limitations may not apply.

You agree to indemnify, defend, and hold harmless InstantPrice and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your conduct in any transaction introduced through the Service; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Attempt to reverse-engineer, scrape, or extract the underlying pricing methodology or data sources
• Use automated tools to query the Service at a volume that places unreasonable strain on our infrastructure
• Use the Service for any purpose that is fraudulent, deceptive, or harmful
• Misrepresent item condition, identity, or any material fact
• Use the Service to harass, threaten, defraud, or harm any other user
• Collect or retain other users' personal information beyond what is reasonably necessary for the specific transaction
• Solicit other users for purposes unrelated to the matched transaction
• Attempt to circumvent any referral or commission mechanism, including by taking a matched transaction off-platform to avoid commissions on future transactions

We reserve the right to restrict access to users who violate these guidelines.

You may stop using the Service at any time. InstantPrice may suspend, restrict, or terminate your access to the Service or any feature at any time, with or without notice, for any reason, including violation of these Terms.

The following sections shall survive termination of your access to the Service or any termination of these Terms: Disclaimer of Warranties, Selling Services — Important Disclosures and Assumption of Risk, Limitation of Liability, Indemnification, Governing Law and Disputes, and Miscellaneous. Any payment obligations incurred prior to termination shall also survive.

The Service, including its pricing methodology, algorithms, software, design, badge assets, and all related materials, is the proprietary property of InstantPrice LLC and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service.

Valuation badges generated by the Service may be used for personal or business purposes, such as in marketplace listings, to represent a market-based fair value estimate. You may not misrepresent or alter badge content, or use badges in a manner that is deceptive or fraudulent.

InstantPrice does not require you to create an account or submit personally identifiable information to request a valuation. If you use a selling service, we collect and share limited personal information, including first name, phone number, zip code, and device information, as described in our updated Privacy Policy. We may also collect anonymized usage data to improve the Service. Please refer to our Privacy Policy for details on how we handle any data collected.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will make reasonable efforts to provide advance notice of material changes.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state courts located in Seminole County, Florida, or the federal courts for the Middle District of Florida, and you consent to personal jurisdiction and venue in those courts.

Before initiating any legal proceeding, you agree to contact us at the address below and give us a reasonable opportunity of no less than 30 days to resolve the dispute informally.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and InstantPrice regarding your use of the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
